Terms of Use

These Terms of Use (ToU) govern your use of the website of Shape Interio located at www.shapeinterio.com. Please read these Terms carefully before using the Website. By accessing or using the Website, you agree to be bound by these Terms. 

Acceptance of Terms

By accessing or using the Website, you affirm that you are of legal age and have the capacity to enter into a binding agreement. If you do not agree with any part of these Terms, you must not access or use the Website. 

Intellectual Property

All content, materials and designs on the Website, including but not limited to text, graphics, logos, images, videos, audio and software, are the intellectual property of Shape Interio or its licensors and are protected by applicable copyright, trademark and other intellectual property laws. You may not modify, copy, reproduce, distribute, transmit, display, perform, publish, license, create derivative works from, or sell any information, products, or services obtained from the Website. 

Termination

We may terminate or suspend your Website use or any other service if we believe in our sole and absolute discretion that you have breached any Terms. It may be our sole discretion to discontinue providing services or any part at any time. Termination of access may be effective without any prior notice and you acknowledge and agree that we may bar any further access to the Website. 

Indemnity

You agree to indemnify, defend and hold harmless Shape Interio, its director, employees, agents and successors  from and against any claims liabilities, damages, losses, costs or expenses, including reasonable attorneys’ fees, arising out of or in connection with

1. Your access to or use of the Website; 
2. Your violation of any provision of these Terms; 
3. Your violation of any third-party rights, including but not limited to intellectual property rights or privacy rights; 
4. Your User Submissions or any content you submit or post on the Website; 
5. Any unauthorized use or disclosure of any personal information or data related to you; or 
6. Any other conduct or action by you that violates any applicable laws or regulations.

Shape Interio reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with Shape Interio in asserting any available defenses.

Limitation of Liability

In no event shall Shape Interio, its officers, directors, employees, or agents be liable for any direct, indirect, incidental, consequential, special, or exemplary damages, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses (even if Shape Interio has been advised of the possibility of such damages), arising out of or in connection with:

(a) Your use or inability to use the Website;

(b) The content, materials, or information available on the Website;

(c) Any unauthorized access to or alteration of your transmissions or data;

(d) Any conduct or content of any third party on the Website;

(e) Any bugs, viruses, malware or other harmful code that may be transmitted to or through the Website;

(f) Any errors, inaccuracies, or omissions in any content or information provided on the Website;

(g) Any interruption or cessation of transmission to or from the Website; or

(h) Any other matter relating to the Website.

The foregoing limitation of liability shall apply to the fullest extent permitted by law in the applicable jurisdiction. If you are dissatisfied with the Website or any content on the Website, your sole remedy is to discontinue using the Website.

Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, so the above limitation may not apply to you. In such cases, the liability of Shape Interio shall be limited to the maximum extent permitted by law.

Governing Law and Jurisdiction

These Terms and the relationship between You and Us shall be governed by the laws of the Republic of India without regard to its conflict of law provisions. The Courts at West Bengal, India shall have exclusive jurisdiction in any proceedings arising out of these Terms.

Specific Terms of Use

Interior Services

Quotation and Payment

The quotation and rates are liable to change depending on the exact actual measurement on-site or design changes made by You as per Your instructions. The payment will be done in the following stages:

1. XX% to begin design (Non-refundable)
2. XX% before 3D after the first presentation (Non-refundable)
3. XX% to move to production (Non-refundable)
4. XX%  before dispatch (Non-refundable)

Taxes will be estinated and charged separately at the time of billing at each stage as per prevailing government tax rates.  All payments via credit cards will be applicable for a 2% surcharge as charged by the banks towards the same. Services charges, project design and management fees (if applicable) will be mentioned on your proposal and will be relevantly charged during billing.

Delivery Time

We will process the final order and start production only post a XX% payment. Your order will be delivered on or before the assured delivery date. Changing an order or unforeseen circumstances may delay the delivery time. We are not responsible for any delay in project implementation due to third-party vendors or for reasons beyond our control.

Delay in Completion

1. The Firm shall make every reasonable effort to complete the project within the agreed-upon time frame or the estimated completion date. However, Shape Interio does not guarantee the exact completion date, and any mentioned timeline is an estimate based on normal working conditions and project requirements.
2. In the event of a delay in completion caused by factors outside the Firm's control, including but not limited to, acts of nature, government regulations, labor strikes, material shortages, or any unforeseen circumstances, the Firm shall not be held liable for any damages or losses incurred as a result of the delay.
3. If the Firm anticipates a delay in the completion of the project, it shall promptly notify the client and provide a revised estimated completion date. The Firm will make reasonable efforts to mitigate the delay and complete the project as soon as reasonably possible.
4. The client agrees to cooperate and provide timely responses, approvals, and necessary information to the Firm to facilitate the smooth progress of the project. Any delay caused by the client's failure to fulfill their obligations may result in an extension of the completion date.
5. In the event that the delay in completion is solely due to the Firm's negligence or failure to perform its obligations, the client may be entitled to compensation or other appropriate remedies as mutually agreed upon by both parties.
6. The Firm shall not be held responsible for any additional costs or damages arising from the delay, including but not limited to loss of revenue, loss of business opportunities, or any indirect, consequential, or incidental damages.
7. The client acknowledges that the Firm's liability for any delay in completion is limited to the extent permitted by applicable law.
8. If the delay in completion extends beyond a reasonable time frame or significantly hampers the project's progress, either party may terminate the contract by providing written notice to the other party. In such cases, the client may be entitled to a refund of any fees paid to the Firm for the uncompleted portion of the project, excluding any costs or expenses already incurred by the Firm.
9. This clause shall survive the termination or expiration of the contract or any other agreements between the client and the Firm.

This Privacy Policy explains how Shape Interio collects, uses and protects the personal information of individuals who visits our website, use our services or otherwise interact with us. We are committed to safeguarding your privacy and ensuring the security of your personal information. By accessing or using our services, you consent to the collection, use and disclosure of your personal information as described in this policy.
